Please read these terms carefully before using REPA's sourcing services. By engaging our services, you agree to be bound by these terms.

1 Agreement to Terms

By accessing and using REPA's sourcing services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service constitute a legal agreement between you ("Client") and REPA ("Company", "we", "us", or "our"), a sourcing company based in Guangzhou, China.

2 Service Description

REPA provides comprehensive sourcing and procurement services including but not limited to:

  • Supplier identification and verification
  • Product sourcing and price negotiation
  • Quality control and inspection services
  • Logistics coordination and shipping assistance
  • Supply chain consultation and risk assessment

3 Transparency Guarantee

REPA commits to full transparency in all business dealings:

  • We will never accept commissions or kickbacks from suppliers
  • Supplier contact information will be provided upon request
  • Clients may verify pricing with suppliers directly
  • If hidden commissions are discovered, full refund plus cargo retention guaranteed

4 Payment Terms

Service fees are charged separately from product costs and are clearly outlined in our quotations. Payment terms include:

  • Service fees are due as agreed in the service contract
  • Clients may pay suppliers directly for product costs
  • Additional charges for expedited services will be communicated in advance
  • Refunds will be processed according to our refund policy

5 Client Responsibilities

Clients agree to:

  • Provide accurate product specifications and requirements
  • Respond to communications in a timely manner
  • Make payments according to agreed terms
  • Comply with all applicable laws and regulations in their jurisdiction
  • Respect intellectual property rights of third parties

6 Limitation of Liability

While REPA strives to provide the highest quality service, our liability is limited as follows:

  • REPA acts as an intermediary and consultant; final decisions rest with the client
  • We are not responsible for supplier performance beyond our reasonable control
  • Force majeure events (natural disasters, government actions, etc.) are excluded
  • Maximum liability is limited to the service fees paid for the specific project

7 Confidentiality

REPA respects client confidentiality and agrees to:

  • Keep all client information and business details confidential
  • Not disclose product designs, specifications, or business strategies
  • Use client information solely for providing agreed services
  • Sign additional NDAs when required by clients

8 Termination

Either party may terminate services under the following conditions:

  • Written notice of termination with reasonable advance notice
  • Completion of ongoing projects unless otherwise agreed
  • Settlement of all outstanding payments and obligations
  • Material breach of contract by either party

9 Governing Law

These terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation through a mutually agreed mediator
  • Arbitration in Guangzhou, China, if mediation fails
